1. Introduction

Welcome to Veridable.

These Terms of Service (“Terms”) govern your access to and use of the websites, products and services provided by Veridable Ltd (“Veridable”, “we”, “us”, “our”), including any beta or pilot versions (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organisation, you are agreeing to these Terms on behalf of that organisation and you represent that you have the authority to do so.

If you do not agree to these Terms, you must not use the Services.

2. Eligibility

You may use the Services only if:

  • You are at least 18 years old; and

  • You have the legal capacity to enter into a binding contract; and

  • You comply with these Terms and all applicable laws.

If you are using the Services on behalf of a company or other legal entity, “you” refers to that entity and its authorised users.

3. Accounts and access

Some parts of the Services may require you to create an account.

You agree to:

  • Provide accurate, current and complete information when creating an account.

  • Keep your login credentials confidential and secure.

  • Notify us promptly if you suspect any unauthorised access to your account.

You are responsible for all activities that occur under your account, except where such activities are directly caused by Veridable’s breach of these Terms.

We may temporarily suspend or terminate access to the Services if we reasonably believe:

  • You are in breach of these Terms;

  • Your use poses a security or operational risk; or

  • We are required to do so by law or by a competent authority.

4. Permitted use

You may use the Services solely for lawful business purposes and in accordance with these Terms.

You agree that you will not:

  • Use the Services in any way that violates applicable laws or regulations (including privacy, data protection, financial crime and sanctions laws).

  • Upload, transmit or store any content that is unlawful, harmful, defamatory, infringing, or otherwise objectionable.

  • Attempt to gain unauthorised access to the Services, other users’ accounts, or any related systems or networks.

  • Interfere with or disrupt the integrity or performance of the Services.

  • Reverse engineer, decompile, disassemble or attempt to derive the source code of the Services, except to the extent this is permitted by mandatory law.

  • Use the Services to build a competing product or service.

We reserve the right to monitor usage patterns (in aggregated and/or anonymised form) to ensure compliance with these Terms and to improve the Services.

5. Customer content

In using the Services, you and your organisation may upload, submit or provide information, documents and other materials (“Customer Content”), including KYC/KYB information about your organisation or your counterparties.

You retain all rights in your Customer Content, subject to the limited licence granted below.

You grant Veridable a non-exclusive, worldwide, royalty-free licence to host, store, process and use Customer Content:

  • To provide and operate the Services;

  • To improve and secure the Services (e.g. by monitoring performance, detecting abuse);

  • To comply with legal obligations or requests from competent authorities.

Where possible, we will use aggregated and/or anonymised data for analytics and product improvement.

You are responsible for:

  • Ensuring you have the necessary lawful basis and permissions (including consents where required) to upload and share Customer Content through the Services;

  • Ensuring that Customer Content is accurate, lawful and does not infringe the rights of any third party.

6. Intellectual property

The Services, including all software, interfaces, designs, text, graphics, logos and other materials provided by Veridable (the “Veridable Materials”), are owned or licensed by Veridable and are protected by intellectual property laws and treaties.

Except as expressly stated in these Terms, no rights are granted to you in or to the Veridable Materials.

Subject to your compliance with these Terms and any separate commercial agreement between your organisation and Veridable, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business purposes.

You must not remove or alter any proprietary notices or branding from the Services.

7. Beta features and changes to the Services

From time to time, we may offer beta, pilot or early access features or environments. These may be identified as such or may be clearly experimental in nature.

You understand and agree that:

  • Beta features may be incomplete, change without notice, or be discontinued at any time.

  • Beta features are provided “as is” and may not meet the same reliability or security standards as generally available features.

We may modify, update or discontinue parts of the Services from time to time to:

  • Improve functionality or security;

  • Comply with legal or regulatory requirements; or

  • Reflect changes in our business or technology.

Where changes materially affect your use of paid Services under a separate commercial agreement, we will try to provide reasonable notice.

8. Third-party services and data

The Services may integrate with, or rely on, third-party services, tools and data providers (for example, identity verification services, company registries, or sanctions/PEP screening tools).

Where you use such third-party services through Veridable, you may be subject to that third party’s own terms and privacy policies. Veridable is not responsible for the content, performance or availability of third-party services, except where explicitly stated in a separate written agreement.

We do not guarantee the accuracy, completeness or timeliness of third-party data, and you remain responsible for your decisions and actions based on such data.

9. Confidentiality and data protection

Each party may receive confidential information from the other party in connection with the Services. Both parties agree to:

  • Use such confidential information only for the purpose of providing or receiving the Services; and

  • Protect it with at least reasonable care and not disclose it to third parties, except as permitted in these Terms or required by law.

Our handling of personal data is described in more detail in our Privacy Policy, which forms part of these Terms. By using the Services, you acknowledge that we will process personal data in accordance with that policy.

Where required by law or by your organisation’s policies, additional data processing terms may be set out in a separate Data Processing Agreement between Veridable and your organisation.

10. Disclaimers

The Services are provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, Veridable:

  • Disclaims all warranties and conditions, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

  • Does not guarantee that the Services will be uninterrupted, error-free, free of harmful components, or suitable for your particular use case.

The Services (including any checks, summaries or recommendations) are intended to support your compliance and risk processes, not to replace your independent judgement. You remain responsible for your organisation’s decisions and regulatory obligations.

Nothing in the Services should be construed as legal, regulatory, financial or other professional advice.

11. Limitation of liability

To the fullest extent permitted by law:

  • Veridable will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or business opportunities, arising out of or in connection with your use of the Services.

  • Veridable’s total aggregate liability arising out of or relating to the Services or these Terms will be limited to the greater of:

    • the amount you have paid to Veridable for the Services in the twelve (12) months preceding the event giving rise to the claim; or

    • [£5,000]

      Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, such as liability for death or personal injury caused by negligence, or for fraud.

12. Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless Veridable, its directors, employees and agents from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Services in breach of these Terms;

  • Your violation of any applicable law or the rights of any third party; or

  • Customer Content you submit through the Services.

13. Governing law and jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or the Services shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or the Services, subject to any mandatory applicable laws that provide otherwise.

14. Changes to these Terms

We may update these Terms from time to time, for example to reflect changes in the Services, applicable law, or our business.

When we make material changes, we will update the “Last updated” date at the top and, where appropriate, provide additional notice (for example by email or in-app notification).

Your continued use of the Services after the updated Terms become effective constitutes your acceptance of the changes.
